Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the Penny application ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Penny is a remote development tool that allows users to connect to and interact with Visual Studio Code instances from mobile devices. These Terms govern your use of the Penny mobile application, VS Code extension, and related backend services.

2. Description of Service

Penny provides the following functionality:

  • Remote connection to Visual Studio Code instances
  • Access to GitHub Copilot chat functionality through connected VS Code instances
  • Real-time command execution and synchronization
  • Multi-instance management from mobile devices

The Service requires a valid GitHub account and, for Copilot features, an active GitHub Copilot subscription.

3. User Accounts

3.1 Registration

To use Penny, you must authenticate using your GitHub account. By doing so, you grant Penny permission to access necessary account information for authentication purposes only.

3.2 Account Security

You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any systems or networks connected to the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service to transmit malware, viruses, or other malicious code
  • Share your account credentials with third parties

5. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Penny and is protected by international copyright, trademark, and other intellectual property laws.

Your code and data remain your property. Penny does not claim ownership of any code, projects, or intellectual property you access through the Service.

6. Third-Party Services

The Service integrates with third-party services including GitHub, GitHub Copilot, and Microsoft Azure. Your use of these services is governed by their respective terms of service and privacy policies:

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PENNY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

10. Indemnification

You agree to indemnify and hold harmless Penny and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or your violation of these Terms.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes through the app or via email. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
